Agreement to Terms

By accessing and using ChapterSphere ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

Service Description

ChapterSphere is a comprehensive SaaS platform designed for BNI (Business Network International) chapters to manage venue charges, track payments, manage attendance, and facilitate chapter operations through web and mobile applications.

User Accounts and Registration

• You must provide accurate and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized use of your account
• One person may not maintain multiple accounts
• Accounts are non-transferable

Acceptable Use Policy

You agree not to:

• Use the service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to our systems or other users' accounts
• Upload or transmit viruses, malware, or other harmful code
• Interfere with or disrupt the service or servers
• Use automated systems to access the service without permission
• Violate the intellectual property rights of others

Subscription and Payment Terms

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We reserve the right to change pricing with 30 days notice
• Failure to pay may result in service suspension or termination
• You authorize us to charge your payment method for all fees

Data and Privacy

• You retain ownership of your data uploaded to the service
• You grant us a license to use your data to provide the service
• We implement reasonable security measures to protect your data
• You are responsible for backing up your important data
• Our Privacy Policy governs the collection and use of personal information

Geo-Location Services

Our mobile applications use geo-location services for attendance verification. By using these features:

• You consent to location tracking during meeting times
• Location data is used solely for attendance verification
• You can disable location services, but this may limit functionality
• We do not share location data with third parties except as disclosed in our Privacy Policy

Intellectual Property

• The service and its content are protected by copyright and other intellectual property laws
• You may not copy, modify, distribute, or reverse engineer our software
• Our trademarks and logos may not be used without permission
• You retain rights to content you create using our service

Service Availability

• We strive for 99.9% uptime but do not guarantee uninterrupted service
• Scheduled maintenance will be announced in advance when possible
• We are not liable for service interruptions beyond our control
• We may modify or discontinue features with reasonable notice

Limitation of Liability

To the maximum extent permitted by law, ChapterSphere shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business interruption.

Termination

• Either party may terminate this agreement at any time
• We may suspend or terminate accounts for violations of these terms
• Upon termination, your access to the service will cease
• You may export your data before termination
• Certain provisions will survive termination

Governing Law
